Terms of Service

1. Acceptance of Terms
By creating an account or using CareerAssist (“the Service,” “we,” “our,” or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.
These Terms form a binding legal agreement between you and CareerAssist. We may update these Terms from time to time; continued use of the Service after changes constitutes acceptance.
2. Eligibility
You must be at least 16 years old to use CareerAssist. By using the Service, you represent that you meet this requirement and that all registration information you provide is accurate and complete.
If you are using CareerAssist on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Your Account
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@careerassist.ai if you suspect unauthorized access to your account.
You may not share your account with others or create accounts for the purpose of circumventing usage limits or restrictions.
4. The Service
CareerAssist provides tools to help you build resumes, manage job applications, and leverage AI-assisted features for career development. The Service may include:
- Resume creation and editing with AI-powered suggestions.
- Profile management for work history, education, skills, and projects.
- A job application tracker.
- Document parsing to import existing resumes.
- AI-assisted profile building through conversational interfaces.
We reserve the right to add, modify, or remove features at any time. We will provide reasonable notice for material changes that affect existing paid functionality.
5. Subscriptions and Billing
5.1 Free and paid plans
CareerAssist offers a free tier with limited functionality and paid subscription plans with expanded features. Paid plans are billed on a recurring basis (monthly or annually) at the rates displayed at the time of purchase.
5.2 Payment
Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All prices are in US dollars and are exclusive of any applicable taxes, which you are responsible for.
5.3 Cancellation and refunds
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. We generally do not provide prorated refunds for partial billing periods, except where required by applicable law or at our sole discretion.
5.4 Price changes
We may change subscription prices with at least 30 days' notice. If you do not cancel before the new price takes effect, your continued use constitutes acceptance of the new price.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any regulations.
- Upload or input content that is fraudulent, defamatory, obscene, threatening, or that infringes any third-party intellectual property rights.
- Attempt to scrape, reverse-engineer, or create derivative works from the Service without our written consent.
- Use automated tools to access the Service in a manner that exceeds reasonable personal use or that interferes with our infrastructure.
- Misrepresent your identity or create false professional credentials through the Service.
- Circumvent, disable, or otherwise interfere with security features of the Service.
- Share or resell access to the Service's AI features as a standalone API.
We reserve the right to suspend or terminate your account if you violate these restrictions.
7. Your Content
7.1 Ownership
You retain ownership of all content you create or upload to CareerAssist (“Your Content”), including your resumes, profile data, and uploaded documents.
7.2 License to CareerAssist
By using the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely to provide the Service to you. We do not use Your Content to train AI models or for any purpose beyond operating and improving the Service as described in our Privacy Policy.
7.3 Accuracy
You are solely responsible for the accuracy of the content in your resumes and profile. CareerAssist's AI features provide suggestions and assistance, but you are responsible for reviewing and verifying all output before using it in applications or other professional contexts.
8. AI Features and Limitations
CareerAssist's AI-powered features (including bullet-point rewrites, skill suggestions, and the profile wizard) are provided as tools to assist you, not as professional career advice. AI-generated content may be inaccurate, incomplete, or unsuitable for your specific situation.
You acknowledge that:
- AI outputs require your review and judgment before use.
- We do not guarantee that AI-generated resumes or suggestions will result in job interviews or offers.
- AI features may have usage limits depending on your subscription plan.
9. Intellectual Property
CareerAssist and its licensors own all intellectual property rights in the Service, including the platform design, software, trademarks, and any content we create. Nothing in these Terms grants you a right to use our trademarks, trade names, or logos without our prior written consent.
Feedback or suggestions you provide about the Service may be used by us without compensation or attribution to you.
10. Third-Party Services
The Service integrates with third-party services including Stripe (payments), Supabase (data storage), Google and LinkedIn (OAuth authentication), and AI providers. Your use of those services is governed by their respective terms and privacy policies. We are not responsible for the practices of third-party services.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Career outcomes depend on many factors outside our control. We make no guarantees regarding employment results from using CareerAssist.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAREERFORGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CAREERFORGE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $50 USD.
13. Indemnification
You agree to indemnify, defend, and hold harmless CareerAssist and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms.
14. Termination
You may delete your account at any time from account settings. We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms, with or without notice.
Upon termination, your right to use the Service ceases immediately. Sections 7 (Your Content), 9 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 16 (Governing Law) survive termination.
15. Changes to These Terms
We may modify these Terms at any time. For material changes, we will provide at least 14 days' notice by email or in-app notification. If you disagree with the updated Terms, you may cancel your account before the changes take effect. Continued use of the Service after the effective date constitutes acceptance.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
